These Terms of Service (“Terms”) govern your use of the websites, applications, and services of Sustainable 2U Inc, DBA Mail Stop (“Mail Stop,” “we,” “us”), located at 6017 Snell Ave, San Jose, CA 95123. By purchasing, using, or accessing any Mail Stop service — including shipmailstop.com and the my.mailstop.ai customer portal — you agree to these Terms and to our Privacy Policy & Legal Disclaimers, which is incorporated by reference.
1. Our Services
Mail Stop provides: Commercial Mail Receiving Agency (CMRA) mailbox and virtual mailbox services; mail scanning, forwarding, storage, and shredding; California Registered Agent services; notary public, apostille facilitation, and DOJ/FBI Live Scan fingerprinting; packing and shipping as an authorized USPS/FedEx/UPS/DHL outlet; bonded California Immigration Consultant clerical services; and business advisory consulting. Service-specific legal disclosures (non-attorney status, notary fee limits, consulting scope) appear in our Privacy Policy & Legal Disclaimers page and are part of these Terms.
2. Accounts, Eligibility & Identity Verification
You must be at least 18 and provide accurate, current information. Mailbox services cannot be activated until you complete, sign, and notarize USPS Form 1583 and provide two forms of acceptable government identification, as federal law requires. You are responsible for keeping the names authorized to receive mail at your box current, and for maintaining the security of your portal login.
3. Mail Handling Terms
- Scanning and forwarding are performed only on your instruction through the portal or in writing. Forwarding is at your cost (postage/carrier fees plus any service fee).
- Storage: physical mail and packages are stored per your plan limits. Items exceeding plan limits or held beyond [X days] may incur storage fees of [$X/item/day].
- Perishables, cash, and prohibited items: we may refuse, return, or dispose of hazardous materials, perishables, or items whose receipt would violate law or carrier rules. We are not liable for cash or valuables sent through the mail.
- Service of process: per California Business & Professions Code §17538.5, by renting a mailbox you authorize Mail Stop to accept service of legal process on your behalf where you cannot be personally served after reasonable diligence. We will promptly place such items in your box or notify you.
- Account closure and unclaimed mail: upon termination, you must provide a forwarding address. Mail received after closure is handled per USPS CMRA rules; items unclaimed [X days] after closure may be returned to sender, destroyed, or otherwise disposed of as permitted by law.
4. Fees, Billing & Refunds
Subscription fees are billed monthly or annually in advance via our payment processor. Setup fees are non-refundable once identity verification has begun. Usage-based charges (scans beyond plan limits, forwarding postage, storage, SMS/phone usage) are billed as incurred. [EDIT — choose your refund rule, e.g.: “Monthly plans may be canceled anytime effective at the end of the current billing period; no prorated refunds. Annual plans canceled within 30 days receive a refund of unused full months, less a $X administrative fee.”] Immigration consulting contracts may be canceled within 72 hours of signing for a full refund of unearned fees, as California law requires. We may change pricing with at least 30 days’ notice before your next renewal.
5. Acceptable Use
You may not use our address or services for: any unlawful activity, fraud, or misrepresentation; receiving contraband or items you are not lawfully entitled to receive; harassment or threats directed at our staff; or reselling our address to third parties not registered on your Form 1583. We may suspend or terminate service immediately for violations, cooperate with law enforcement as required, and refuse service where the law permits.
6. Registered Agent Terms
Registered Agent service covers receipt of official state correspondence and service of process only. You are responsible for keeping your entity’s information current with the Secretary of State and for responding to documents we receive. If your subscription lapses, we may resign as your agent by filing with the Secretary of State after [30 days’] notice.
7. Third-Party Services
Portions of our platform run on third-party providers (including HighLevel/LeadConnector and Stripe). We are not responsible for outages or errors of third-party carriers (USPS, FedEx, UPS, DHL), government agencies, or payment networks. Carrier claims for lost or damaged shipments are subject to the carrier’s own terms and declared-value limits.
8. Disclaimers of Warranty
Our services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-interruption. We do not guarantee business outcomes, government approvals, customs clearances, tariff classifications, or delivery times of any carrier or agency.
9. Limitation of Liability & Indemnification
(Replaces the former “Absolute Release of Liability” clause.)
Limitation: To the maximum extent permitted by California law, Mail Stop’s total aggregate liability for any claim arising out of or relating to the services is limited to the greater of (a) the amounts you paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100). In no event will Mail Stop be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost business, or lost data, even if advised of the possibility.
Exceptions: Nothing in these Terms limits liability for gross negligence, willful misconduct, fraud, or any liability that cannot be limited under California Civil Code §1668 or other applicable law.
Indemnification: You agree to indemnify and hold harmless Mail Stop and its officers, owners, and employees from third-party claims, losses, and expenses (including reasonable attorneys’ fees) arising out of your business operations, the contents of mail you receive, your immigration filings, your trade transactions, or your breach of these Terms — except to the extent caused by Mail Stop’s own gross negligence or willful misconduct.
10. Termination
You may cancel through the portal or in writing. We may suspend or terminate for non-payment (after [7 days’] notice), violation of Section 5, or where required by law or USPS regulation. Sections 3 (unclaimed mail), 4, 8, 9, 11, and 12 survive termination.
11. Dispute Resolution & Governing Law
These Terms are governed by California law. The parties will first attempt in good faith to resolve any dispute informally by written notice and a 30-day negotiation period. [EDIT — pick ONE:] [Option A: “Any unresolved dispute shall be resolved exclusively in the state or federal courts located in Santa Clara County, California, and each party consents to that venue.”] [Option B: “Any unresolved dispute shall be settled by binding arbitration in Santa Clara County, California, under the rules of JAMS/AAA; either party may bring qualifying claims in small-claims court instead.”] Each party waives the right to a jury trial to the extent permitted by law.
12. General
If any provision is found unenforceable, the remainder stays in effect. These Terms plus the Privacy Policy & Legal Disclaimers are the entire agreement and supersede prior discussions. We may update these Terms; material changes will be posted with a new Effective Date, and continued use after 30 days constitutes acceptance. We may assign these Terms in connection with a merger or sale; you may not assign without our consent.
